Service

By accessing and using the Nexum platform ("Platform"), operated by Linkoraa Ventures Pvt Ltd ("Company," "we," "us," or "our"), whether through our website at nexumevents.com, our mobile applications, or any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and the Company under the Indian Contract Act, 1872. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract under applicable Indian law. If you are under 18, you are not permitted to register for or use the Service.

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the revised Terms on the Platform and updating the revision date at the top of this page. We may also notify you via email or push notification for significant changes. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

Nexum is a technology platform designed to connect event organizers with attendees, facilitating event discovery, coordination, ticketing, social networking, and attendee engagement across India. The Service includes, but is not limited to:

• Event creation, management, and publishing tools for organizers

• Event discovery, browsing, and RSVP functionality for attendees

• Ticket purchase, issuance, scanning, sharing, and redemption

• Attendee matching and networking features to help users connect at events

• In-app real-time chat and messaging between users

• Event analytics, reporting, and insights dashboards for organizers

• Organizer payout and settlement management

• Referral and rewards programs

• Mobile applications for iOS and Android devices

All access and use of the Service is subject to these Terms. The Company may introduce new features, modify existing features, or discontinue any part of the Service at any time, with or without prior notice.

To access certain features of the Platform, you must register for an account by providing a valid Indian mobile phone number. We will send a one-time password (OTP) to your number for verification. You may not share your OTP or account credentials with any other person.

By registering, you agree to:

• Provide accurate, current, and complete information during registration and in your profile

• Maintain and promptly update your account information to keep it accurate and complete

• Maintain the security and confidentiality of your login credentials and OTP

• Accept sole responsibility for all activities that occur under your account

• Notify us immediately at events.nexum@gmail.com if you become aware of any unauthorized access to or use of your account

You may not create multiple accounts, use another person's account without authorization, or create an account on behalf of someone else without their explicit consent. We reserve the right to suspend or terminate accounts that we reasonably believe contain inaccurate information, are duplicates, or are being used in violation of these Terms.

You must be at least 18 years of age to create an account on the Platform, in accordance with the Indian Contract Act, 1872.

By registering on the Platform, you expressly consent to receiving communications from Nexum and its affiliates via SMS, push notifications, email, WhatsApp, and in-app messages. These communications include:

• Transactional messages: OTP verification codes, ticket confirmations, event reminders, booking updates, payout notifications, and account alerts

• Promotional messages: event recommendations, feature announcements, referral offers, and marketing materials

Transactional messages are necessary for the operation of the Service and cannot be opted out of while you maintain an active account. You may opt out of promotional communications at any time by adjusting your notification preferences in your account settings or by following the unsubscribe instructions provided in the communication.

We comply with the Telecom Regulatory Authority of India (TRAI) regulations, including the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), 2018. We do not send unsolicited commercial communications to numbers registered on the National Do Not Call (DND) registry without your prior consent.

Message and data rates from your mobile carrier may apply. Nexum is not responsible for any charges imposed by your telecommunications provider.

Event organizers who use the Platform to create and manage events are solely responsible for:

• Providing accurate, complete, and truthful event information including date, time, venue, description, ticket pricing, and any age or eligibility restrictions

• Complying with all applicable central, state, and local laws and regulations, including obtaining all necessary licenses, permits, and approvals required to host the event

• Ensuring the safety and security of attendees at the event venue

• Setting and clearly communicating their cancellation and refund policies at the time of ticket listing

• Managing attendee expectations and delivering the event as described

• Collecting and remitting all applicable taxes, including Goods and Services Tax (GST), in connection with the event

Nexum acts solely as an intermediary platform under the Information Technology Act, 2000 and does not organize, host, co-host, or assume responsibility for any events listed on the Platform. Nexum reserves the right to remove, suspend, or delist any event that violates these Terms, applicable laws, or our community guidelines, at our sole discretion and without prior notice.

Payment processing on the Platform is facilitated through authorized third-party payment gateway providers, including but not limited to Razorpay. The Platform supports payments via UPI, credit cards, debit cards, net banking, and other payment methods as made available from time to time. All transactions are processed in Indian Rupees (INR).

Nexum may charge a platform service fee and/or convenience fee on ticket purchases and other transactions. All applicable fees, including any GST, will be clearly disclosed to you before you confirm the transaction. By completing a purchase, you agree to pay all charges at the prices then in effect.

Event organizers set their own ticket prices and refund policies. Refund eligibility and processing are governed by the organizer's stated refund policy at the time of purchase. Nexum is not the seller of tickets and is not liable for any disputes regarding refunds between organizers and attendees.

Organizer payouts are processed after the event has concluded, subject to the settlement terms agreed upon between the organizer and Nexum. Payouts are made to the bank account designated by the organizer. Nexum reserves the right to withhold or delay payouts in cases of suspected fraud, chargebacks, unresolved attendee complaints, or violations of these Terms.

We do not store your full payment card details on our servers. All payment data is handled by PCI-DSS compliant payment processors.

Nexum may operate referral and rewards programs from time to time, allowing eligible users to refer new users to the Platform and earn rewards. Participation in any referral or rewards program is subject to the specific terms and conditions published for that program, in addition to these Terms.

To qualify for a referral reward, the referred user must: (a) register on the Platform using the referrer's unique referral link or code, (b) be a new, first-time user of the Platform, and (c) complete any qualifying action specified in the program terms.

The following activities are strictly prohibited and may result in forfeiture of rewards and termination of your account:

• Self-referrals or creating multiple accounts to earn referral rewards

• Using fake, temporary, or fraudulent identities to generate referrals

• Using automated systems, bots, scripts, or any other programmatic means to generate referrals

• Any activity that Nexum determines, in its sole discretion, to be outside the spirit and intent of the program

Nexum reserves the right to modify, suspend, or terminate any referral or rewards program at any time without prior notice.

You are solely responsible for all content that you upload, post, publish, transmit, or otherwise make available through the Service, including text, images, photos, event descriptions, messages, and profile information (collectively, "User Content").

You agree not to use the Platform to:

• Violate any applicable law, rule, regulation, or ordinance

• Post, upload, or transmit any content that is defamatory, obscene, pornographic, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable

• Impersonate any person or entity, or falsely state or misrepresent your identity or affiliation

• Post false, misleading, or fraudulent event information or ticket listings

• Harass, abuse, stalk, threaten, or intimidate other users

• Infringe or violate the intellectual property, publicity, privacy, or other proprietary rights of any third party

• Transmit any viruses, malware, spyware, or other harmful computer code or files

• Use any automated system, bot, scraper, spider, or data-mining tool to access, collect data from, or interact with the Platform without our express written permission

• Attempt to gain unauthorized access to the Platform, other user accounts, or any computer systems or networks connected to the Platform

• Interfere with or disrupt the integrity or performance of the Platform or its underlying infrastructure

Nexum reserves the right to investigate and take appropriate action against any user who violates these provisions, including removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

The Platform, including its source code, design, layout, graphics, logos, trademarks, service marks, trade names, software, text, and all other content and materials provided by Nexum (collectively, "Platform Content"), are the exclusive property of Linkoraa Ventures Pvt Ltd and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms.

You retain ownership of your User Content. However, by uploading or making User Content available on the Platform, you grant Nexum a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works from your User Content solely in connection with operating, promoting, and improving the Service.

If you believe that any content on the Platform infringes your copyright or other intellectual property rights, you may submit a written notice to our Grievance Officer (see Section 17).

The Platform integrates with and may provide links or access to services, websites, content, and resources operated by third parties ("Third-Party Services"), including but not limited to payment gateways (e.g., Razorpay), mapping and location services (e.g., Google Maps), communication providers, analytics tools, and cloud infrastructure services.

Your use of any Third-Party Services is subject to the terms, conditions, and privacy policies of those third-party providers. Nexum does not endorse, control, or assume responsibility for any Third-Party Services.

You, and not Nexum, are responsible for any costs, charges, or fees associated with your use of Third-Party Services. Nexum will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any Third-Party Services.

Your privacy is important to us. Our collection, use, storage, and disclosure of your personal data is governed by our Privacy Policy, available at nexumevents.com/privacy. By using the Service, you consent to the practices described in the Privacy Policy.

We are committed to complying with applicable Indian data protection laws, including the Information Technology Act, 2000 and the rules made thereunder, and the Digital Personal Data Protection Act, 2023 (DPDPA), as and when its provisions come into effect.

You have the right to access, correct, and request deletion of your personal data, subject to applicable legal requirements. You may exercise these rights by contacting us at events.nexum@gmail.com or through the account settings on the Platform.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE INDIAN LAW, NEXUM DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Nexum does not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free.

Nexum is an intermediary platform and does not organize, host, or guarantee any events listed on the Platform. You attend events and interact with other users at your own risk.

Nothing in this section is intended to exclude or limit any rights you may have under the Consumer Protection Act, 2019 that cannot be lawfully excluded or limited.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, IN NO EVENT SHALL NEXUM, LINKORAA VENTURES PVT LTD, OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service

• Any events attended, organized, or facilitated through the Platform, including personal injury or property damage

• Unauthorized access to or alteration of your data or transmissions

• Statements or conduct of any third party on the Service

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE ACTUALLY PAID TO NEXUM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) INR 5,000.

You agree to defend, indemnify, and hold harmless the Nexum Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising out of or relating to:

• Your access to or use of the Service

• Your violation of these Terms or any applicable law, rule, or regulation

• Your User Content, including any claim that your User Content infringes the rights of a third party

• Any event you organize, host, or manage through the Platform

• Your interaction with other users, including any disputes arising from the matching, chat, or networking features

Nexum reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

This section governs how disputes between you and Nexum will be resolved.

Pre-Arbitration Negotiation: Before initiating any formal dispute resolution proceedings, you agree to first contact us at events.nexum@gmail.com with a written description of the dispute. Both parties shall attempt to resolve the dispute through good-faith negotiation within thirty (30) calendar days.

Binding Arbitration: If the dispute cannot be resolved through negotiation within 30 days, either party may refer the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra, India. The proceedings shall be conducted in English.

Individual Claims Only: All disputes shall be resolved on an individual basis. You agree that you will not bring or participate in any class action, collective action, or representative proceeding against Nexum.

Small Claims Exception: Either party may pursue a claim in a consumer forum or small causes court of competent jurisdiction as an alternative to arbitration.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles.

Subject to the arbitration provisions in Section 15, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Nexum has appointed a Grievance Officer.

Upon receiving your complaint, the Grievance Officer shall:

• Acknowledge receipt of the complaint within twenty-four (24) hours

• Resolve the complaint within fifteen (15) days from the date of receipt

For complaints related to content that threatens the unity, integrity, defence, security, or sovereignty of India, action will be taken within thirty-six (36) hours.

Nexum may, at its sole discretion, suspend, restrict, or terminate your account and access to the Service, immediately and without prior notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable law

• Conduct that we believe is harmful to other users, the Company, or third parties

• Suspected fraudulent, abusive, or illegal activity

• Extended period of account inactivity

• Request by law enforcement or government agencies

You may terminate your account at any time by using the account deletion feature in your settings or by contacting us at events.nexum@gmail.com.

Entire Agreement: These Terms, together with the Privacy Policy and any other policies or guidelines published on the Platform, constitute the entire agreement between you and Nexum regarding the Service.

No Waiver: The failure of Nexum to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Nexum.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Force Majeure: Nexum shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.

Language: These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
